Investment Criteria

An ideal investment candidate for ICP would be a strong, mid-market player in its industry vertical with a leading or low-cost market position. We are comfortable with acquiring or investing in companies that are loss-making and may require operational improvement, cost realignment, brand revitalizations and possibly building out a global footprint. We are also flexible about deploying our capital in the creation of new companies, which allows us to collaborate with experienced management teams and leverage our deep industry and operational expertise to capitalize on market opportunities that we have targeted.

Given our desired investment size, most of our portfolio companies will typically have positive cash flow from operations, although we are open to investing in turnaround situations, as well. We will only invest in opportunities where we believe we can partner with a flexible and adaptive management team to materially improve operations or grow the business internationally.

Our approach to investing is based on the following principles:

  • Holding significant equity positions in our portfolio companies
  • Fast, focused due diligence and decision making
  • Constructive partnership with the management team of the portfolio company
  • A flexible and creative approach to transaction structuring
  • The highest levels of integrity and transparency, which are extremely important to our identity, culture and success

ICP targets investments in leading middle market companies with the following characteristics:

  • Strong organic growth within the company and sector
  • Strong management team
  • Leading player in a growing market segment within a defensible niche
  • Attractive return on assets
  • Potential for build-up opportunities in fragmented industries

Although our priority is significant equity stakes, we are flexible regarding transaction type and capital structure.
